License Agreement

This License Agreement ("Agreement") is a legal agreement between The Night Ventures, LLC, doing business as CraftedBI ("Licensor"), and you ("Licensee") governing the use of CraftedBI’s digital download products, including but not limited to design resources, themes, templates, and associated files (collectively, "Assets").

By purchasing, downloading, or using the Assets, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, you must not purchase, download, or use the Assets.

1. License Grant

Subject to the terms of this Agreement and upon full payment of applicable fees, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, and perpetual license to use the Assets solely for personal and professional projects as outlined below:

1.1 Permitted Uses:

Licensee may use the Assets for an unlimited number of personal and client projects.
Licensee may incorporate the Assets into Power BI reports, dashboards, presentations, or related deliverables for Licensee or Licensee’s clients.

1.2 Prohibited Uses:

Licensee may not use the Assets for any purpose that competes with Licensor, including creating or distributing any product, software, design system, theme generator, or similar toolkit.
Licensee may not share, resell, sublicense, distribute, or otherwise transfer the Assets or derivative works based on the Assets in any form, except as incorporated into Licensee’s personal or professional projects.
Licensee may not upload or make the Assets available on any publicly accessible repository, website, or platform.

2. Ownership

All rights, title, and interest in and to the Assets, including all associated intellectual property rights, remain the sole property of Licensor. This Agreement does not grant Licensee any ownership rights to the Assets. Any unauthorized use of the Assets constitutes a violation of this Agreement and intellectual property laws.

3. Restrictions and Obligations

3.1 No Reverse Engineering: Licensee may not reverse engineer, decompile, or disassemble the Assets.

3.2 No Unauthorized Modifications: Licensee may not alter or modify the Assets for redistribution purposes.

3.3 Audit Rights: Licensor reserves the right to request evidence of compliance with the terms of this Agreement. Failure to provide such evidence upon request may result in termination of this Agreement.

4. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any of its terms. Upon termination:

Licensee must cease all use of the Assets.
Licensee must delete or destroy all copies of the Assets in Licensee’s possession or control.

Licensor reserves the right to seek damages and other remedies for any breach of this Agreement.

5. Disclaimer of Warranties and Responsibility

The Assets are provided "as is," without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Licensor does not warrant or guarantee the accuracy, completeness, or functionality of the Assets. Licensee acknowledges and agrees that it is their sole responsibility to review, test, and verify the Assets to ensure they meet their requirements and are free of errors. Under no circumstances shall Licensor be held responsible or liable for any issues, inaccuracies, or errors resulting from the use of the Assets.

Licensee assumes all risks and responsibilities associated with the use of the Assets, including but not limited to ensuring compliance with applicable laws and regulations, verifying accuracy, and confirming fitness for the intended purpose.

6. Limitation of Liability

In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to this Agreement or the use of the Assets, even if Licensor has been advised of the possibility of such damages. Licensor’s total liability under this Agreement shall not exceed the amount paid by Licensee for the Assets.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be resolved exclusively in the state or federal courts located in Florida.

8. Entire Agreement

This Agreement constitutes the entire agreement between Licensor and Licensee with respect to the Assets and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

9. Enforcement

Licensor reserves the right to take legal action against any unauthorized use, reproduction, or distribution of the Assets. Any costs, including attorneys’ fees, incurred in enforcing this Agreement shall be recoverable by Licensor.

By purchasing, downloading, or using the Assets, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
